William Miller

Mr. Miller is an experienced corporate and business attorney whose practice spans a range of corporate and business transactions and regulatory advisement.  In particular, he provides general counsel services to corporations, partnerships, limited liability companies, nonprofit entities, and individuals in connection with their general corporate law, commercial and business transactions, and intellectual property needs.

Mr. Miller routinely advises executive officers and directors with respect to merger, acquisition, and financing strategies, business plan and technology development, strategic planning and positioning, corporate governance, fiduciary matters, and day-to-day business management.  The companies with which Mr. Miller works represent an array of industries and technologies at various stages of development.  However, Mr. Miller has a particular affinity for working with emerging growth companies and has successfully positioned start-up companies for angel and venture financing via integral involvement with founders in the business development process, including analysis of strategic vision, the definition of goals and milestones, and initial design of sales, marketing, and recruitment systems.

Mr. Miller regularly structures, negotiates, and drafts complex domestic and offshore equity and debt financing transactions, domestic and cross border joint ventures and strategic alliances, technology and software licensing agreements, distributor and sales agreements, buy/sell agreements, supply/purchase agreements, consulting/services agreements, nondisclosure agreements, commercial real estate transactions, and various other commercial agreements.  Furthermore, Mr. Miller counsels businesses on complex regulatory matters and international trade laws with a special emphasis on European Union Law.

Mr. Miller is a former United States Marine.

Education

He holds a Bachelor of Arts in Political Science from California State University. He earned his Juris Doctor degree from the University of the Pacific, McGeorge School of Law, and attended the University of Lund, Sweden, Faculty of Law, European Union Law, Master’s of European Union Affairs Program (LL.M.).
